Member Participation

What is the definition of an InVenture Angels Network member?

Membership is by invitation only. Members are “Accredited Investors” as that term is defined in Regulation D under the Securities Act of 1933 and under other applicable securities laws and regulations. An InVenture Angels Network member is:

  1. An active private equity investor.
  2. A trusted and respected member of our business community.
  3. A contributor of time, knowledge, and expertise to our funded and soon to be founded companies.
  4. One who enjoys building relationships with other members and the companies our members fund.

What is an accredited investor?

Under the Securities Act of 1933, a company that offers or sells its securities must register the securities with the SEC or find an exemption from the registration requirements. The Act provides companies with a number of exemptions. For some of the exemptions, such as rules 505 and 506 of Regulation D, a company may sell its securities to what are known as “accredited investors.” The federal securities laws define the term accredited investor in Rule 501 of Regulation D as:

  • a bank, insurance company, registered investment company, business development company, or small business investment company;
  • an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
  • a charitable organization, corporation, or partnership with assets exceeding $5 million;
  • a director, executive officer, or general partner of the company selling the securities;
  • a business in which all the equity owners are accredited investors;
  • a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person;
  • a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
  • a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.

Do I have to be an accredited investor to join InVenture Angels Network?

As a rule yes, InVenture Angels Network members typically are accredited to join, renew, and maintain their membership status.

How do I become a member?

Membership is by invitation. Invitation is extended to active investors that are respected members of the business community. We do also invite angel investors interested in learning about the benefits of InVenture Angels Network membership by invitation only to attend one of our meetings as a guest. This can provide an opportunity to see our process and for us to meet in person. After you have attended an InVenture Angels Network meeting, the next step is to complete our membership application and to schedule a meeting with us to discuss your investment interests.  

Is there a minimum investment amount?

Yes, a minimum of $25K per investment. We believe that the members should invest in the deals that present at InVenture Angels Network if they are satisfied with their due diligence and if the deals fit their investment strategy.

Can I attend an InVenture Angels Network meeting as a guest?

Yes, we do invite angel investors interested in learning about the benefits of InVenture Angels Network membership by invitation only to attend one of our meetings as a guest. This can provide an opportunity to see our process and for us to meet in person. Please see the calendar of upcoming events.

What is the membership structure?

We accept individual private equity investors as well as corp. investors.

Application & Presentations

What is the selection process for companies that present to the InVenture Angels Network?

  1. Complete on-line application
  2. Industry committee pre-screening
  3. Selected companies present to a deal screening (15-min presentation, approximately 7-10 companies)
  4. InVenture Angels Network meeting (20-min presentation, 5-7 companies)
  5. Due Diligence (takes anywhere from 2-3 weeks to 5-6 months depending on the company’s industry and stage. Members facilitate in the due diligence but invest on their own as individuals)
  6. National syndication Investing (companies that receive investment traction from InVenture Angels Network may be available for additional funding).

What are the investment criteria?

Some of the investment criteria used to evaluate investment opportunities to the InVenture Angels Network are:

  • Typically with revenue, sustainable and recurring, with start-up proof of concept or significant pilots.
  • Continuous margin expansion that is sustainable.
  • Filling a significant unmet need with solution customers looking for. Existing paying customers.
  • Market opportunity, initial vertical market has to be large and addressable target market.
  • Sustainable competitive advantage with proprietary features and no foreseeable threats from disruptive technology or other competitors.
  • Experienced and driven management team with a track record of leadership and performance, either in the company’s specific industry or prior entrepreneurial ventures and mix a of technology skills. Clear successes and failures can be seen and discuss.
  • Pre-Money valuation negotiable.
  • Barriers to entry of proprietary products or channels of distribution with competitive methodologies, technology or channels.
  • Company should be profitable within 2 years or within foreseeable future, and this is the last round to profitability.
  • Long-term free cash flow capability, projected within 3-4 years from its launch, the company’s free cash flow should be able to have the capability to fund itself internally.
  • Clear exit strategy.
  • Intellectual Property clearly defending and protected.
  • An experienced Board of Directors with right composition of strategy, technology and operational skills to provide necessary backing to the management team.

What is the industry of companies presenting?

InVenture Angels members invest in high-quality investment opportunities in Michigan competitive edge type technologies that include: information technology, advanced manufacturing, security [homeland security (typically IP Security)], and life sciences/healthcare. These type industry clusters include the notable Michigan’s smart manufacturing revolution Industry 4.0 and core components include, robotics, Industrial Internet of Things, big data and artificial intelligence, additive manufacturing, advanced materials, cybersecurity, cloud computing and modeling simulation and visualization, and, the Michigan’s next-generation mobility connectivity industry. Additionally, the traditional Michigan high growth type segments of business services and consumer products.

What is the stage of companies presenting?

Companies that apply to the InVenture Angels Network are typically early stage A or B rounds, but startups and second stage companies will be considered on individual basis. Most of the applying companies typically have some revenue, and are seeking $150K to $2m in capital, and usually having already raised funding from the founders, friends, and family.

What materials do we need to bring at the Deal Screening?

No materials are needed.  At the Deal Screening the InVenture Angels Network team will provide each attendee a copy of the Executive Summary that the entrepreneur has provided to them. It is recommended that an additional copy of the presentation is carried on a flash drive as a backup.

When do we have to arrive at the Deal Screening and the Investor Meeting?

You will have the Agenda and the time when your company will present one week prior to the Deal Screening/InVenture Angels Network investor meeting. We suggest that you arrive at least 1 hour before you are scheduled to present and take under consideration the traffic conditions and the time it takes to park and find the meeting conference room.

When will we know whether our company has been selected to present at the Investor Meeting?

InVenture Angels Network staff will follow up with you typically within a couple of days of your presentation at the Deal Screening. In addition to the decision, we provide feedback from the member discussion on your company.

What materials do we need for the investor meeting?

InVenture Angels Network staff prepares a Booklet for the InVenture Angels Network investor meeting, which has all the required materials, including the Executive Summary of each company that has been provided by the entrepreneurs.

How is the presentation run?

All presentations are run from the InVenture Angels Network. You will have to e-mail us your Power Point or Keynote presentation before the Deal Screening and InVenture Angels Network investor meeting so that we can enable smooth transition of the presentations. As a back-up, you are asked to have the presentation on a USB drive.

How long are the presentations?

Deal Screening: 15-minute presentation on 7-10 Power Point slides (7-minute core presentation followed by 8-minute Q&A) InVenture Angels Network investor meeting: 20-minute presentation on 7-10 Power Point Slides (10-minute core presentation followed by 10-minute Q&A)

Is there a presentation fee to the InVenture Angels Network?

There is no fee to apply, to be pre-screened and to present at the Deal Screening meeting. However, if at the Deal Screening meeting your company is selected to present to the InVenture Angels Network investor presentation meeting, there is a presentation fee to defer a portion of the management and organizational costs. The presentation fee also serves as filtering process. Please contact us for more information.

Does the InVenture Angels Network take commissions from investments?

We do not take any commissions or warrants for capital raised through the InVenture Angels Network.

How large are the investment rounds?

InVenture Angels Network does not invest as a fund. Members make individual investment decisions. The rounds are from $150K to $2M. If you receive financial support from the InVenture Angels Network, you will receive checks from members.
